Terms of Use

1. Acceptance of Terms

By accessing and using HerbaCRM ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

HerbaCRM is a platform designed for wellness, nutrition, and fitness coaches to manage their clients, track measurements and orders, and participate in an affiliate program.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payments

The Service is available on a subscription basis. You agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

We may change our fees at any time. If we change our fees, we will provide notice of the change on the website or by email, at our option, at least 14 days before the change is to take effect.

5. Affiliate Program

The Service includes an affiliate program that allows users to earn commissions by referring new users. Participation in the affiliate program is subject to these Terms and any additional terms specific to the affiliate program.

We reserve the right to modify or terminate the affiliate program at any time. We may withhold or cancel commissions if we determine, in our sole discretion, that they were earned through fraudulent, illegal, or deceptive means.

6. User Content

You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise use the User Content for the purposes of operating and providing the Service.

You represent and warrant that you have all rights necessary to grant us the license above and that your User Content does not violate any law or infringe the rights of any third party.

7. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate or infringe other people's intellectual property, privacy, or other rights
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to the Service or other user accounts
  • Use the Service to transmit any viruses, worms, or other malicious code
  • Use the Service to harvest or collect email addresses or other contact information
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10. Limitation of Liability

IN NO EVENT SHALL HERBACRM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of UAE, without regard to its conflict of law provisions.
